These Terms and Conditions govern your access to and use of the InfraSync platform. Please read them carefully.

1. Acceptance of Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you," "your," or "Customer") and Linxus Infotech Private Limited, a company incorporated in India with its registered office at G.NO.215, Dongargaon (Shev), Phulambri, Aurangabad, Maharashtra 431111, CIN U62099MH2024PTC424743 ("Linxus Infotech," "InfraSync," "we," "us," or "our").

By creating an account, accessing, or using the InfraSync platform available at infrasync.app (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and any other policies referenced herein.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. "Terms of Use" and "Terms of Service" refer to this same document.

If you do not agree, do not use the Service.

2. Description of the Service

InfraSync is a Software-as-a-Service platform that scans customer-owned cloud accounts (initially Amazon Web Services) using credentials you provide, and generates Terraform (HashiCorp Configuration Language) Infrastructure-as-Code artifacts representing the discovered resources. The Service may also push generated code to source-control repositories (such as GitHub) that you connect, run recurring scheduled scans, detect drift between successive scans, and provide related dashboards, reports, and notifications.

The Service is provided on an "as is" and "as available" basis. Features, limits, integrations, and supported cloud providers may change over time. Some features are available only on certain plans.

3. Eligibility and accounts

3.1 Eligibility

You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872.
You must not be barred from receiving the Service under applicable law.
Free Trial accounts are limited to one (1) per individual and one (1) per legal entity. Creating multiple accounts to obtain repeat trials is prohibited.

3.2 Account security

You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
You must promptly notify us at security@linxusinfotech.com of any suspected unauthorized access.
You must provide accurate, current, and complete registration information and keep it up to date.

3.3 Organizations, team members, and roles

Accounts are organized into organizations. The organization creator becomes the initial organization administrator and may invite additional users and assign one of four roles: admin, maintainer, writer, or viewer. Each role grants a different set of permissions across cloud credentials, scans, billing, and organization settings. You are responsible for which users you invite and the roles you grant them.

4. Customer data and cloud credentials

4.1 Your cloud credentials

To use the Service, you provide cloud-provider credentials (such as AWS Access Keys) for accounts you own or are authorized to manage. You represent and warrant that you have such authorization. You grant us a limited licence to use those credentials solely to operate the Service for you, including read-only enumeration of resources, drift comparisons, and pushing generated code to repositories you have connected.

4.2 Recommended IAM posture

We strongly recommend you provide IAM credentials scoped to read-only permissions necessary for resource discovery (e.g., AWS managed policy ReadOnlyAccess or a narrower equivalent). You are solely responsible for the scope and lifecycle of the credentials you provide.

4.3 Customer data

"Customer Data" means information you submit to or that is generated about your use of the Service, including cloud-resource metadata returned by scans and Terraform code generated for you. As between you and us, you own your Customer Data and the Terraform code generated for you.

4.4 Our use of customer data

We use Customer Data only to operate, maintain, support, and improve the Service, to comply with law, and to enforce these Terms. We do not sell Customer Data, do not use it to train artificial-intelligence models, and do not share it with third parties except as described in our Privacy Policy.

5. Subscriptions, fees, and billing

5.1 Plans

Plan features, limits, and prices are described on the pricing page and in the Cancellation & Refund Policy.

5.2 Fees and taxes

All fees are payable in advance in Indian Rupees (INR) unless we expressly agree otherwise in writing.
All fees are exclusive of applicable taxes; GST will be added at the rate prevailing on the invoice date for Indian customers.
You are responsible for any withholding, customs duties, or local taxes that apply to you.

5.3 Payment processing

Payments are processed by Razorpay Software Private Limited. By submitting payment information, you authorise us and our payment processor to charge the applicable fees to your selected payment method. We do not store full payment-card details on our own systems.

5.4 Auto-renewal

Paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time in your account settings. Cancellation stops future renewals; it does not refund the current billing period (see Cancellation & Refund Policy).

5.5 Late payment

If a payment fails, we may suspend or restrict your access until the balance is cleared. We may charge reasonable interest on overdue amounts at the maximum rate permitted by law.

5.6 Price changes

We may change prices for future billing periods on at least 30 days' written notice (email to the account's billing contact). Continued use after the effective date constitutes acceptance of the new pricing.

6. Acceptable use

Your use of the Service is subject to the Acceptable Use Policy, which is incorporated by reference. Without limiting that policy, you agree not to:

scan or attempt to scan cloud accounts you do not own or are not authorised to scan;
use the Service to facilitate any unlawful, infringing, or fraudulent activity;
reverse-engineer, decompile, or attempt to derive the source code of the Service except as expressly permitted by law;
resell, sublicense, or make the Service available to any third party except your authorised organization members;
interfere with or disrupt the Service or any related systems or networks.

7. Intellectual property

7.1 Our rights

We and our licensors own all right, title, and interest in and to the Service, including all software, designs, trademarks, logos, and documentation. No rights are granted to you except the limited, revocable, non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms.

7.2 Your generated code

Terraform code and related artifacts generated for you by the Service based on your Customer Data are owned by you. You may use, modify, and distribute that code without restriction by us, subject to the licences of any underlying open-source tools (notably Terraformer and HashiCorp Terraform), the terms of your cloud providers, and any third-party content embedded by you.

7.3 Feedback

If you give us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback without restriction or compensation.

8. Third-party services and integrations

The Service integrates with third-party services that you choose to connect, including your AWS account, your GitHub organization (via the InfraSync GitHub App), and the Razorpay payment gateway. Your use of those services is governed by their own terms, not ours. We are not responsible for their availability, security, or behavior.

By connecting a third-party service, you authorise us to exchange data with that service as necessary to operate the integration you enabled. You may revoke access at any time through your account settings or through the third party.

9. Confidentiality

Each party may disclose to the other non-public information about its business, technology, or customers ("Confidential Information"). The receiving party will use Confidential Information solely to perform under these Terms and will protect it with at least the same care it uses for its own confidential information of a similar nature, and in no event less than reasonable care. Confidential Information does not include information that is publicly available without breach, independently developed, or rightfully received from a third party without confidentiality obligations.

10. Data protection

Our processing of personal data is described in our Privacy Policy. For Indian residents, you have the rights provided under the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Information Technology Act, 2000, including the right to access, correct, and erase your personal data, subject to applicable exceptions. Our security practices are described in our Security & Data Protection Statement.

11. Warranties and disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that generated Terraform code will be free of defects, exactly match the intended infrastructure state, or be suitable for direct application without review. You are solely responsible for reviewing and testing generated code before applying it to production infrastructure.

12. Limitation of liability

To the maximum extent permitted by law, in no event will either party be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenues, lost data, or business interruption, arising out of or related to these Terms or the Service, whether in contract, tort, or any other theory, even if advised of the possibility of such damages.

Our aggregate liability for any and all claims arising out of or related to these Terms or the Service will not exceed the total fees paid by you to us under these Terms in the twelve (12) months immediately preceding the event giving rise to the claim, or ₹10,000 (Indian Rupees Ten Thousand), whichever is greater.

Some jurisdictions do not allow limitation of certain warranties or liabilities; in those jurisdictions, the limitations apply to the maximum extent permitted.

13. Indemnification

You will defend, indemnify, and hold harmless Linxus Infotech and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable attorneys' fees arising out of or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) your Customer Data or cloud credentials, including any claim that you were not authorised to provide them or to have us scan the corresponding cloud accounts; or (c) your infringement of any third-party rights.

14. Suspension and termination

14.1 Termination by you

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You may request deletion of your account by emailing privacy@linxusinfotech.com.

14.2 Termination or suspension by us

We may suspend or terminate your access to the Service, with or without notice, if (a) you materially breach these Terms or our Acceptable Use Policy, (b) you fail to pay applicable fees, (c) we reasonably believe your use poses a security or legal risk to us, to the Service, or to other customers, or (d) required by law.

14.3 Effect of termination

On termination, your right to access the Service ends and we may delete Customer Data in accordance with the retention periods set out in our Privacy Policy. Provisions intended to survive termination (including IP, confidentiality, disclaimers, limitations of liability, indemnity, and governing law) will survive.

15. Modifications to the Service and Terms

We may modify the Service from time to time, including by adding, removing, or changing features. We may also update these Terms; the updated version will be posted on this page with a revised "Last Updated" date. For material changes, we will provide advance notice (typically 30 days) by email to the account's primary contact and through an in-product notice. Your continued use after the effective date constitutes acceptance of the updated Terms.

16. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts at Aurangabad (Chhatrapati Sambhajinagar), Maharashtra, India for any disputes arising out of or related to these Terms or the Service, subject to the parties' right to seek interim relief in any court of competent jurisdiction.

The parties will attempt in good faith to resolve any dispute by discussion between authorised representatives before initiating formal proceedings.

17. Force majeure

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemic, internet or telecommunications failures, or upstream cloud-provider outages.

18. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets. Any prohibited assignment is void.

19. Notices

Notices to us must be sent to legal@linxusinfotech.com or by post to our registered office. Notices to you may be sent to the email address associated with your account or posted within the Service. Notices are deemed received on the next business day after sending.

20. Miscellaneous

Entire agreement. These Terms, together with the policies referenced herein, constitute the entire agreement between the parties relating to the Service.
Severability. If any provision is held invalid, the remaining provisions remain in effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Independent contractors. The parties are independent contractors; no partnership, joint venture, or agency relationship is created.
Headings. Section headings are for convenience only and have no legal effect.
